1. Overview

EleVare Systems (“we”, “us”, or “our”) provides automation, CRM, and digital integration services designed to help businesses improve lead management, booking efficiency, and follow-up systems. These Terms apply to all visitors, users, and clients who access or use our website and services.

2. Services

We deliver system builds, automation setup, CRM integrations, and related consulting or optimisation services. Each project is governed by a proposal or agreement defining its specific scope, deliverables, timeline, and fees. We reserve the right to modify or discontinue any service without notice, provided existing client contracts are honoured.

3. User Responsibilities

By using our website or services, you agree to:

• Provide accurate and current information when requested.

• Use our services only for lawful business purposes.

• Not misuse our systems or engage in unauthorised data access, reverse engineering, or resale of deliverables.

• Maintain confidentiality of any login or access credentials provided to you.

4. Payments

• All fees are agreed upon in advance through a written quote or proposal.

• Launch and Growth packages are one-time builds payable 50% upfront and 50% prior to delivery.

• Scale package includes a one-time setup fee plus a monthly retainer, billed in advance.

• Payments are due upon invoice receipt unless otherwise stated.

• Late payments may incur an interest charge of 1.5% per month.

• We reserve the right to pause or terminate services for non-payment.

5. Revisions & Acceptance

Projects include up to two rounds of revisions unless otherwise specified. Deliverables are deemed accepted seven (7) days after delivery unless written notice of issues is received.

6. Confidentiality

Both parties agree to keep all non-public, proprietary, or confidential information strictly confidential. We may use anonymised data or metrics for internal performance tracking and case studies but will never share identifying client information without consent.

7. Intellectual Property

All materials, code, designs, and documentation created by EleVare remain our property until full payment is received. Upon full payment, you are granted a non-exclusive, perpetual licence to use the final deliverables for your own business operations. We may reuse generic system structures, automations, or templates in future projects.

8. Termination

Either party may terminate the agreement if the other party materially breaches these Terms and fails to remedy within 14 days of notice. Scale retainers may be cancelled with 30 days’ written notice. Upon termination, all unpaid fees become immediately due.

9. Liability

EleVare Systems will not be liable for indirect, incidental, or consequential losses, including loss of profits, revenue, or data. Our total liability for any claim will not exceed the total amount paid by the client in the preceding three (3) months.

10. Data Protection & GDPR

We act as a Data Processor, and clients act as Data Controllers in line with UK GDPR. We will only process data as instructed and will implement reasonable technical and organisational measures to protect personal data. You are responsible for ensuring your own legal compliance when sharing or processing customer data.

11. Non-Solicitation

You agree not to directly or indirectly solicit, hire, or engage any EleVare staff, contractors, or partners for a period of 12 months following completion of your project.

12. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, power failures, or third-party service interruptions.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Updates to These Terms

We may revise these Terms occasionally. The updated version will always be posted on this page with the revision date. Continued use of our services after changes implies acceptance of the revised Terms.
